Terms of Service

Welcome to Deducto (“the App”). These Terms of Service (“Terms”) govern your use of the Deducto application, website, and related services (collectively, “the Service”). By installing or using Deducto, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

“Merchant,” “you,” and “your” refer to the Shopify store owner or authorised user who installs or accesses the Service. “We,” “us,” and “our” refer to Deducto and its operating company.

1. Acceptance of Terms

By installing Deducto from the Shopify App Store, connecting your store to the Service, accessing our APIs, or otherwise using the Service, you confirm that:

  • You have read and agree to these Terms.

  • You are legally able to enter into a binding agreement.

  • If you act on behalf of a business, you have the authority to bind that business.

If you do not agree to these Terms, you must uninstall the App and stop using the Service.

2. Description of the Service

Deducto provides a promotions and discount management platform designed to integrate with Shopify stores and custom commerce applications. The Service includes, but is not limited to:

  • Logic Engine: High-performance calculation and application of discount logic, coupons, and promotional rules based on Merchant-defined parameters.
  • Multi-Currency & Internationalisation: Support for currency conversion and region-specific promotional rules as supported by your Shopify configuration.
  • Data & Analytics: Tracking of promotion usage, conversion rates, and historical reporting.
  • API & Developer Tools: Access to Application Programming Interfaces (APIs), webhooks, and documentation for custom integrations or “headless” commerce setups.
  • Administrative Dashboard: A central interface for managing store settings, attributes, and workflow configurations.

2.1 Modifications to the Service

Deducto Pty Ltd reserves the right to modify, enhance, or discontinue specific features or functional aspects of the Service at any time. We may release “Beta” features which are provided for evaluation purposes and may contain bugs or performance limitations; use of these features is at the Merchant’s own risk.

3. Merchant Responsibilities

You are responsible for:

  • Ensuring that your promotions comply with applicable laws, tax rules, platform rules (including Shopify’s policies), and commercial regulations.

  • The accuracy of the data you enter into Deducto.

  • Testing your promotions before enabling them.

  • Monitoring active promotions to ensure they operate as expected.

  • Maintaining accurate and up-to-date store information.

  • Any consequences resulting from incorrect promotion setups, including unexpected discounts or financial impacts.

You acknowledge that Deducto executes logic you configure; it does not independently verify your rules or outcomes.

You acknowledge that ‘Discount Stacking’ (where multiple discounts apply at once) is a Merchant-configured setting. Deducto is not liable for financial loss due to stacked or overlapping promotions.

4. Payment, Billing & Refunds

4.1 Pricing

Deducto is billed through the Shopify App Store using Shopify’s billing system. By installing the App, you authorise Shopify to charge your account according to the pricing plan you select.

4.2 Billing Cycle

Subscription fees are billed monthly unless otherwise specified. Fees are non-refundable except where required by law or Shopify’s billing policies.

4.3 Changes to Pricing

We may update pricing from time to time. Any changes will be communicated through the Shopify App Store listing or through the App interface. Continued use of the Service constitutes acceptance of the new pricing.

4.4 Taxes

You are responsible for all applicable taxes, duties, or levies related to your use of the Service.

5. Acceptable Use

You agree not to misuse the Service. Prohibited actions include:

  • Attempting to reverse engineer or copy any part of the Service

  • Using the Service to violate Shopify policies, local laws, or payment regulations

  • Interfering with or disrupting Service operations

  • Using the Service to generate fraudulent orders, promotions, or coupons

  • Abuse of API access, rate limits, or infrastructure

  • Unauthorised scraping or data extraction

We may suspend or terminate your access if we believe you have violated these Terms.

6. Data Usage & Privacy

Deducto accesses and processes certain Shopify store data to function correctly. This may include:

  • Products, collections, tags, vendors

  • Orders, carts, and discount information

  • Customer data (as allowed by Shopify permissions)

  • Store settings and metadata

Data is used solely to operate and improve the Service. We do not sell or market merchant or customer data.

7. API Usage

Deducto may offer APIs for creating and managing promotions, coupons, attributes, and workflows.

By using our APIs, you agree:

  • Not to exceed documented rate limits

  • Not to access or modify systems in ways not intended

  • Not to use APIs for unauthorised or harmful purposes

  • To secure any API keys and prevent unauthorised access

  • You are solely responsible for all activity occurring under your API credentials

  • Deducto is not liable for unauthorised access resulting from Merchant negligence

We may suspend API access for security, misuse, or system stability reasons.

8. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided “as is” and “as available.”

  • We do not guarantee uninterrupted operation or error-free performance.

  • We are not liable for any direct, indirect, incidental, or consequential damages, including lost revenue, profit loss, data loss, or unexpected promotion outcomes.

  • We are not liable for acts of God, strikes, or internet-wide outages

  • Our total liability for any claim relating to the Service will not exceed the amount paid for the Service in the 90 days preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations; in such cases, these limitations apply only to the extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Deducto Pty Ltd, its officers, directors, and employees, from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in any way connected with:

(a) Your access to or use of the Service;

(b) Your violation of these Terms;

(c) Any promotion, discount, or coupon logic configured by you that results in financial loss, regulatory fines, or consumer disputes;

(d) Your violation of any third-party right, including intellectual property or privacy rights; or

(e) Your violation of Shopify’s Acceptable Use Policy or Terms of Service.

10. Termination

You may terminate this agreement at any time by cancelling your subscription via the App dashboard.

We may suspend or terminate your access if:

  • You violate these Terms

  • Your billing fails or is reversed

  • Continued use poses security or operational risks

  • We discontinue the Service

Upon termination:

  • Your access to the Service is revoked

  • Promotions set through Deducto may stop functioning

  • We may retain logs or operational data as permitted by law and our Privacy Policy

11. Survival

Upon the termination or expiration of these Terms for any reason, any provision which by its nature or express terms should survive will survive. This includes, but is not limited to, the following sections:

  • Section 4 (Payment, Billing & Refunds): Any outstanding fees owed to Deducto at the time of termination remain payable.
  • Section 6 (Data Usage & Privacy): Regarding our handling of data post-termination.
  • Section 8 (Limitation of Liability): Protecting Deducto from claims arising from past use.
  • Section 14 (Governing Law & Jurisdiction): Ensuring any post-termination disputes are settled in your chosen court.
  • Section 9 (Indemnification): Ensuring the Merchant remains responsible for their past actions.
  • Section 12 (Third-Party Platform Dependency): Regarding historical service interruptions.

12. Third-Party Platform Dependency (Shopify)

The Service is designed to integrate with the Shopify platform. You acknowledge and agree that:

  • (a) Deducto is an independent service provider and is not affiliated with, endorsed by, or partnered with Shopify Inc. beyond our status as an App Developer.

  • (b) Our Service’s functionality is dependent on the availability of Shopify’s API. We are not liable for Service interruptions caused by Shopify downtime, API rate-limiting, or changes to Shopify’s platform architecture.

  • (c) You are responsible for maintaining your Shopify account in good standing. Termination of your Shopify store will result in the loss of Service functionality.

    13. Changes to These Terms

We may update these Terms at any time. When we do, we will update the “Last Updated” date at the top of this document. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

If you disagree with any changes, you must uninstall the App and stop using the Service.

14. Governing Law

These Terms are governed by the laws of Victoria, Australia in which the operating company behind Deducto is registered, without regard to conflict of law principles.

15. Entire Agreement

These Terms, together with the Privacy Policy and any Service Level Agreement signed by the parties, constitute the entire agreement between you and Deducto Pty Ltd regarding the Service. These Terms supersede all prior or contemporaneous communications, proposals, or agreements (whether oral, written, or electronic) between you and Deducto. No employee, agent, or representative of Deducto has the authority to bind Deducto to any oral representation or warranty concerning the Service.
